Terms of Use

These Terms of Service govern your access to and use of the Starizon website(s), browser extension(s), applications, software, AI assistant features, browser automation features, and related services provided by Starizon Ltd.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

1. Scope of the Services

The Services may include, without limitation:

• our website(s), including https://starizon.ai and related domains;
• browser extensions (including Chrome extension features);
• AI chat, summarization, extraction, and page understanding tools;
• browser automation and agent features (e.g., navigation, clicking, typing, form filling, task execution);
• integrations/connectors to third-party services;
• hosted services, APIs, SDKs, beta/preview features, and related software or tools we make available now or in the future.

We may add, modify, suspend, or discontinue any part of the Services at any time.

2. Eligibility and Account Registration

2.1 Eligibility

You may use the Services only if you are at least the age of majority in your jurisdiction and in any event not under 18 years old; and you are legally permitted to use the Services under applicable law.

2.2 Account Information

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and keep it updated.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us promptly at support@starizon.ai if you believe your account has been compromised or used without authorization.

3. Privacy

Your use of the Services is also subject to our Privacy Policy: https://starizon.ai/privacy-policy, which explains how we collect, use, and disclose information. By using the Services, you acknowledge that we may process information as described in the Privacy Policy.

4. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal personal or business use (as applicable), solely in accordance with these Terms. You may not use the Services except as expressly permitted in these Terms.

5. AI Features and Browser Automation Disclaimer

5.1 AI Outputs

The Services may generate responses, summaries, suggestions, structured data, code, or other outputs ("Output") using AI systems and/or third-party model providers. You acknowledge and agree that:

• AI and machine learning systems are probabilistic and may produce inaccurate, incomplete, outdated, biased, or misleading outputs;
• Output may not be unique, and other users may receive similar output;
• you are solely responsible for reviewing, validating, and deciding whether to use any Output;
• Starizon does not guarantee that Output is accurate, reliable, lawful, or fit for your intended purpose.

5.2 Browser Automation and Agent Actions

The Services may perform browser or app actions at your direction, including but not limited to visiting webpages, clicking elements, typing text, submitting forms, extracting page data, or triggering actions in connected third-party services. You are solely responsible for:

• the instructions you provide and the actions you approve or allow the agent to perform;
• compliance with applicable law and third-party terms;
• ensuring you have permission to access and use the relevant websites/accounts/data.

5.3 No Professional Advice

Unless expressly stated otherwise, the Services and Output are provided for general informational and operational assistance only and do not constitute legal, financial, tax, medical, or other professional advice.

6. Local Access Features and Connected Accounts

Certain features may require local access via browser extensions, desktop software, or similar locally installed components ("Local Access Features"). By enabling Local Access Features, you authorize the Services (subject to your settings and permissions) to access and operate within your local environment as necessary to provide requested functionality.

All payments are processed securely by our third-party payment provider (e.g., Stripe, Paddle, or similar services). Subscription fees, if applicable, are billed in advance on a recurring basis. You may cancel your subscription at any time via your account settings or by contacting our support team. Refunds and cancellations are handled in accordance with our "Refund Policy" or at the sole discretion of the Starizon team. Using the "Starizon Web Extension" incurs costs for fetching web data and querying AI interfaces. These costs are completely covered by your paid subscription or the usage quota of your respective tier. The Services may allow you to connect third-party accounts and services (e.g., email, spreadsheets, or cloud storage) ("Third-Party Accounts"). By connecting a Third-Party Account, you represent and warrant that you are authorized to grant us access, doing so does not violate your agreements with the third-party provider, and you understand and accept any third-party terms, fees, or restrictions that apply. Your relationship with the third-party provider is solely between you and that provider.

7. Acceptable Use and Prohibited Conduct

You agree not to use (or allow others to use) the Services to:

• violate any applicable law, regulation, court order, or third-party rights;
• access, use, or automate interactions with any system, website, or account without authorization;
• engage in fraud, phishing, deception, impersonation, or social engineering;
• transmit malware, spyware, viruses, or harmful code;
• interfere with, disrupt, or degrade the Services or related systems;
• reverse engineer, decompile, disassemble, or attempt to derive source code of the Services, except where prohibited by law;
• bypass rate limits, security controls, access restrictions, or usage limits;
• use the Services to store or process unlawful content or content that infringes intellectual property, privacy, publicity, or other rights;
• use the Services for spam, unsolicited communications, or abusive automation;
• misrepresent Output as human-generated where disclosure is required by law;

We may investigate violations and take action, including removing content, suspending or terminating accounts, and reporting to authorities where appropriate.

8. Your Content; Inputs and Outputs

You may provide prompts, instructions, files, text, images, page content, or other materials to the Services ("Input"). Together with Output, Input and Output are referred to as "Your Content". You are solely responsible for Your Content.

As between you and Starizon, and subject to applicable law: you retain ownership of your Input; and to the extent permitted by law, you own your Output. However, you acknowledge that Output may not be unique or protectable by intellectual property law.

You grant Starizon and our service providers a limited license to host, store, reproduce, and transmit Your Content solely as necessary to provide and maintain the Services, process your requests, debug and secure the Services, and comply with the law.

9. Third-Party Services

The Services may link to, integrate with, or rely on third-party websites, software, APIs, authentication providers, AI providers, payment processors, and other services. We do not control Third-Party Services and are not responsible for their availability, performance, security, policies, or outputs.

10. Fees, Subscriptions, Credits/Tokens, Billing, and Refunds

10.1 Subscriptions and Auto-Renewal

If you purchase a subscription, it will automatically renew for the same billing cycle (e.g., monthly or annually) unless you cancel before the renewal date. By subscribing, you authorize us (and/or our payment processor) to charge your payment method for recurring fees.

10.2 Credits and Tokens

If your plan includes credits, tokens, or other usage units ("Usage Units"):

• Usage Units are a contractual usage allowance, not money, stored value, or legal tender;
• Monthly Subscription Tokens: Base tokens allocated to you each month under your active subscription plan do not roll over from month to month. Your balance resets on the first day of each new cycle, and any unused tokens remain non-exchangeable and expire upon the reset.
• Standalone Top-Up Tokens: If you purchase extra tokens on an ad-hoc ("pay-as-you-go") basis outside of standard subscription allowances, these "top-up tokens" never expire, provided your account remains open and in good standing.
• Usage Units may be consumed at different rates depending on the feature, model, task complexity, input/output size, or other technical factors.

10.3 Refunds and Cancellations

Unless otherwise stated in writing or required by applicable law, fees are non-refundable. However, Starizon provides a 7-Day Refund Policy from your initial purchase date upon request, no questions asked.

Cancelling a subscription prevents future renewals but does not retroactively refund the current billing period. You may continue to access paid features until the end of the then-current paid term. You may request cancellation or billing support at support@starizon.ai.

11. Suspension and Termination

We may suspend or terminate your access to some or all of the Services, with or without notice, if you violate these Terms, we reasonably suspect fraud or unlawful activity, or your use poses a security risk. You may stop using the Services at any time and may close your account.

Upon termination, your right to use the Services ends immediately, and we may disable account access subject to retention obligations.

12. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the Services are provided "as is" and "as available." Starizon disclaims all warranties and conditions, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Starizon and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or reputation. Starizon's aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of the total amount you paid to Starizon for the Services in the three (3) months before the event giving rise to the claim, or USD $100.

13. Governing Law and Miscellaneous

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. The courts of England and Wales will have exclusive jurisdiction over disputes arising out of these Terms.

We may modify these Terms from time to time. If we make material changes, we will post the updated Terms and update the "Last updated" date.
